This Website is operated by Adapt By Design Pty Ltd, trading as Adapt (“Company”, “we”, “our”, “us”). These Terms of Use govern your access to and use of theadaptway.com (the “Website”), including any content, functionality, and products/services offered.

By using the Website, you:

• accept and agree to be bound by these Terms of Use, our Privacy Policy confirm you are the legal age of majority under applicable law to form a binding contract; and

• acknowledge that if you access the Website from a jurisdiction where access is not permitted, you do so at your own risk.

If you do not agree, you must not access or use the Website.

2. Your use of the Website

a) You are responsible for:

• Ensuring anyone who accesses the Website through your internet connection is aware of, and complies with, this Agreement

• Providing information that is correct, current and complete.

• Your own computer, internet and data security.

b) Prohibited activities

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to:

• Disable, overburden, damage or impair the website; use robots, spiders or other automated means to access, monitor or copy materials; use any manual process for the same purpose without prior written consent.

• Interfere with the proper working of the website; introduce viruses, worms, trojan horses, logic bombs or other malicious code.

• Attempt unauthorised access to any part of the website, its servers or any related systems.

• Carry out denial-of-service or distributed denial-of-service attacks.

c) Our rights (site safety and enforcement)

Without notice, we may remove or refuse to post any User Submission, take any action we deem appropriate (including notifying authorities) if a User Submission violates these Terms of Use or others’ rights or safety; and suspend or terminate access for any reason, including breach of these Terms of Use. You agree to hold Adapt and its related parties harmless from claims resulting from actions taken in connection with investigations or enforcement.

3. Intellectual property and permitted use

The Website and its entire contents, features and functionality (including information, software, text, displays, images, video and audio, and the design, selection and arrangement) are owned by Adapt, its licensors or other providers, and are protected by Australian and international copyright, trade mark, patent, trade secret and other intellectual property laws.

You may use the Website for personal, non-commercial use only. You may:

• Temporarily store materials in RAM incidental to viewing.

• Store files automatically cached by your browser.

• Print or download one copy of a reasonable number of pages for your own personal, non-commercial use.

You must not modify copies of materials, delete or alter proprietary notices, or use any part of the Website or materials for commercial purposes. If you breach these terms, your right to use the Website stops immediately and you must, at our option, return or destroy copies you have made. No right, title or interest in the Website or content is transferred to you; all rights not expressly granted are reserved by Adapt.

The Website may allow you to create, submit, post, display, transmit, publish, distribute or broadcast content or materials (“Content” or “User Submissions”). You are responsible for your Content and compliance with applicable laws.

Licence you grant us. By submitting Content on or through the Website, you grant us a worldwide, non-exclusive, royalty-free licence to use, copy, reproduce, process, disclose, adapt, modify, publish, transmit, display, distribute and prepare derivative works of that Content, and to sublicense these rights, in any media and for any purpose (including commercial and advertising). We do not claim ownership of your Content; you retain all rights you hold in it.

Submission Standards. User Submissions must not:

• Be defamatory, obscene, indecent, abusive, offensive, misleading, harassing, violent, hateful or inflammatory.

• Promote sexually explicit or pornographic material, violence, or discrimination based on protected attributes.

• Infringe any intellectual property or other rights of any person.

• Violate others’ legal rights or give rise to civil/criminal liability.

• Deceive or be likely to deceive.

• Promote or assist any unlawful act.

• Cause annoyance, needless anxiety, or be likely to upset, embarrass or alarm others.

• Impersonate any person or misrepresent your identity or affiliation.

• Involve commercial activities or sales (e.g. Contests, sweepstakes, promotions, barter or advertising).

• Suggest they emanate from or are endorsed by us if not the case.

We do not endorse User Submissions and are not responsible or liable for them.

5. Purchases, pricing, subscriptions & cancellations

a) Purchases
You may be required to purchase or pay a fee to access our services. We may accept Stripe (and other methods we notify). We do not guarantee the availability of any payment method and may add, remove or suspend methods at our discretion.

You agree to provide current, complete and accurate purchase and account information, and to promptly update contact and payment details. GST (or applicable taxes) may be added. Prices may change at any time. You authorise us to charge your chosen payment method for amounts due.

If your purchase is subject to recurring charges, you must keep a valid payment method on file. You authorise recurring payments until you cancel, we terminate in writing in accordance with these Terms of Service, or the subscription ends and all fees are paid.

b) Pricing
We may correct pricing errors even after requesting or receiving payment and may refuse any order.

c) Subscriptions & Trials
From time to time we may offer free trials or promotional codes for a specified period (additional terms may apply). If payment details are required for a trial, the first payment will be charged after the trial expires unless you cancel earlier in accordance with these Terms of Use. You may not receive a separate end-of-trial notice.

d) Cancellation
You can cancel your subscription at any time via your account or by contacting us (see Contact). Cancellation takes effect at the end of the current billing period. Subscription purchases are non-refundable, have no monetary value, and grant only a non-exclusive, revocable, non-assignable and non-transferable right to use the subscription. You must not transfer, sell, purchase, barter or trade subscriptions.identity or affiliation.

6. Consumer guarantees & returns (ACL)

Nothing in these Terms of Use limits or excludes any rights you have under the Australian Consumer Law (ACL), including guarantees that services will be rendered with due care and skill and that goods will be of acceptable quality. Any statement in these Terms is to be read subject to your non-excludable rights under the ACL.

7. Disclaimers, limitations of liability & indemnification

a) Disclaimers
You understand and agree that your use of the Website, its content, and any goods, digital products, services, information or items obtained through the Website is at your own risk. The Website, its content and any goods/services are provided on an “as is” and “as available” basis, without warranties or conditions of any kind, express or implied (including merchantability, fitness for purpose and non-infringement), except for warranties that cannot be excluded under applicable law (including the ACL).

We and our directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers and successors do not warrant the completeness, security, reliability, suitability, accuracy, currency or availability of the Website or its contents; that goods/services will be error-free or uninterrupted; that defects will be corrected; or that the Website, servers or content are free of viruses or other harmful code.

b) Limitation of liability
Unless prohibited by law, we and our related parties are not liable for any consequential, indirect, incidental, exemplary, special or punitive damages, including business interruption; loss of use, data, revenue, profit or goodwill; cost of capital; or loss of business opportunity, whether arising in contract, tort (including negligence) or otherwise, even if foreseeable. This limitation does not apply to liability that cannot be limited under the ACL or other non-excludable law.

c) Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless Adapt and its related parties from and against claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising from your breach of these Terms of Use or your use of the Website (including third-party sites and content), any unauthorised use of Website content/services, or any goods/digital products purchased from the Website.

8. Privacy & cookies

Your provision of personal information through the Website is governed by our Privacy Policyand our Cookie Notice.

9. Third-party services & links

For your convenience, the Website may provide links or pointers to third-party sites or display third-party content. We make no representations about other websites or third-party content accessible from the Website. Accessing such sites is at your own risk. 11. Governing laws & disputes

These Terms of Use and the Website are governed by the laws of Australia without regard to conflict-of-laws principles. Any action or proceeding arising out of or relating to the Website and/or these Terms of Use must be instituted in the courts of Western Australia, and you irrevocably submit to the exclusive jurisdiction of those courts and waive any objection to venue.

If you are a resident of the European Economic Area, Switzerland, Norway or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12. Severability

If any provision of these Terms of Use is illegal or unenforceable, the remainder will be amended to achieve as closely as possible the original intent, and all other provisions will continue in full force.

These Terms of Use are the entire agreement between you and Adapt regarding the Website and replace all prior or contemporaneous understandings or statements about this subject matter (other than fraud or fraudulent misrepresentation). No variation is effective unless in writing and signed by or on behalf of Adapt.

14. Waiver

No failure or delay in exercising any right or power operates as a waiver. No single or partial exercise precludes further exercise of that or any other right.

We may provide notices by email (to the address you provide) or by posting on the Website. Email notices are effective when sent; posted notices are effective upon posting. You are responsible for keeping your email address current.
